GREAT New Blog – IP Law for StartupsToday, I learned that former classmate of mine at the University of Michigan has started a blog for startups dealing with intellectual property issues. Jill Bowman is a great person and her blog is not only informative, but is also written in her voice, not legalese. (Her husband says it’s too “girly” but I totally disagree). Jill promises to dish on IP “train wrecks” (her words) that she’s seen over the past decade and hopefully her wisdom can save some folks future headaches. She also promises to talk about costs savings in IP controversies and expose how some big firms are ripping off their clients. Her first post is Ten Smart Reasons to Learn About IP Law. Jill, welcome to the blogosphere. We are happy to hav

Is An Inside Round Good or Bad?Bijan Sabet has today’s Great VC Post titled The Inside Round. In it, he talks about the pros and cons of an inside round which he defines as: “There are times where a follow on financing does not include a new VC firm. The new round is financed by the current investors. This is known as an “inside round”.” He also summarizes the historical conventional wisdom: “It used to be the case that an inside round often meant something was wrong. It meant the company was unable to raise money with a new outside lead investor due poor operating performance, team, market, whatever. And sometimes that is a correct read on the situation. But I believe that is no longer universally true.” I strongly agree with Bijan. A

Why Don’t Venture Capitalists Tell You Why They Won’t Invest?Today, we were asked the following question: '”Why don't VCs tell you the reason why they don't invest? Any feedback would be useful. It's just plain rude.” I (Jason) figured that this is really a personal question, so I thought that I’d post on my personal blog, as I certainly can’t speak (or even guess) the response for the entire VC industry. Preparing to Wind Down a Business: What information do you need?We continue to work our way through wind downs in the third part of the series from Roger Glovsky. Roger, you have the floor… The primary responsibility for shutting down operations and liquidating assets falls on the managers and/or owners of the business, at least until or unless the creditors or court system takes over. This could come as a nasty shock to some investors. Many angel investors or even venture capitalists enter a transaction with the intent of just contributing money. They may be surprised to learn some day that the management team for the company they invested in have all resigned and that no one is remaining to wind down the business, sell off the assets, or pay down the liabilities. Suddenly, one day the

When to Shut Down Your CompanyLast week we started the blog series (written by Roger Glovsky), How to Wind Down Your Company. The response and comments were great! Keep them coming. This week we tackle the hardest problem of all: deciding when to shut down your company. It is not easy an easy decision, especially for entrepreneurs. Starting a company is about creating a vision, persuading others to believe in the vision, turning an idea into reality, and pursuing a dream. The last thing an entrepreneur wants to do is to shut down his or her dream. So, how do you make the decision to shut down your company? When do you decide to shut down your company? The short answer is: When the company has no other alternatives. What are the alternatives? Financing

How To Wind Down Your Company – New SeriesOf the most popular posts that Brad and I have created are our series on Term Sheets, Compensation, and Mergers and Acquisitions. One of the subjects that we've wanted to tackle has been the dissolution of companies. It's never fun to think about failure, but it happens a lot. Unfortunately, we haven't gotten around to it yet, so it was with great joy that my friend Roger Glovsky elected to write the series himself. This is post one of the series and I'm really excited to introduce Roger to our readers. Take it away, Roger. This is a follow-up to Jason Mendelson's recent interview on how to handle start-up failures. It is a timely topic for entrepreneurs who may be running low on cash or worrying about "hitting the wall." Jaso

How to Approach VCsI got a great set of questions from an entrepreneur (Delena) on an earlier post, concerning how to approach, qualify and follow-up with VCs. I've heard these tactical communication questions a bit more often in the past year so I thought I'd expand upon at least one of Delena's questions here.Delena asked "How long should one pursue a [VC] firm?" My first answer is to pursue appropriate investors until you no longer need funding, but the devil's in the details.Chum the Water, Before Baiting a HookYou've seen those deep sea fishing shows, right, where they throw meat out well before casting a line? This is especially true for shark fishing. Well, given how the popular media likes to equate VCs and sharks (think SharkTank), follow that sa

Florida Growth FundEarlier this week I attended a Florida Venture Forum welcome event for the Florida Growth Fund, a $250 million hybrid fund-of-funds managed by Hamilton Lane for the Florida State Board of Administration. A say "hybrid" because the fund has two missions: 1) invest into Florida-focused venture capital funds and 2) invest directly into Florida companies. It's not clear how much of the fund will go into each of those buckets, but their investment amounts per deal/fund are roughly $5-15 million.A couple of the principals from Hamilton Lane spoke at the event, Greg Baty and David Helgerson, and it was very well attended. Both Greg and David are drinking from a firehose at the moment, Florida is a big, diverse geography for venture capital. T

Venture Capital SyndicatesI've written before about how tough markets like this really separate the wheat from the chaff within a company. As if your company were a foxhole, you get to see who stays to fight by your side and who runs to another foxhole with more protection; or worse, who runs away from the fight altogether looking for a safe desk job far from the battlefield. My past posts were more about people within a company, but a similar test of commitment happens within investor syndicates. Most entrepreneurs I've met focus on picking their lead investor, but spend little attention on the long-term strength/weakness of the syndicate that forms around that lead. As an investor that typically leads deals, Inflexion spends considerable time and diligence archi

When Marketers Collude, Bloggers LoseAs an active investor in social media, I've followed the Word of Mouth Marketing Association (WOMMA) since it's founding by a handful of marketers back in 2004. The growth of marketers in the organization is a testament to the power unlocked by consumer generated content. The core of that power rests with the content creators such as bloggers, podcasters, vloggers and even to the granularity of social network participants. I think WOMMA understands that, but I fear they've been led astray by a minority of marketers who want to dictate payment terms when engaging bloggers. Sure, they want the exposure bloggers can deliver, but they only want to pay bloggers in free markers, coffee mugs, products, trips and passes.Normally the market woul

Top Tech Trends 2009 and BeyondRafe's coverage of the Churchill Club Top Tech Trends is worth sharing. Jurvetson's observations about distributed search are very similar to some I've been investigating. For every explicit action people take on the web (e.g. creating a link that GOOG indexes), there are 10X+ implicit actions (e.g. browsing, scrolling, video abandons) that are not being indexed for intelligence today. There are distinct efforts happening within content indexing, social feeds and webmaster analytics (largely implicit action data) that, when combined, will deliver maximum search intelligence. Much of the "Real-time web" excitement around Twitter, FriendFeed, Facebook and others still focuses on explicit actions (e.g. status updates), but the best value will

Sesame Street Jumps Into Social Networking; Fans NoticeElmo, the world’s most beloved red monster, joined Facebook earlier today, posting one “fan photo” and one 10-second video. Within hours, more than a quarter of a million people had joined his fan page, 500 “liked” his short video greeting and more than 100 Facebook users -- from Brisbane, Australia to Pesaro, Italy -- expressed their love for the scratchy voiced Aquarius. The move owes to the recent appointment of Dan Lewis, appointed earlier this year as the director of new media communications at Sesame Workshop, the nonprofit educational group behind the 40-year-old show “Sesame Street.” Lewis is a Tufts alum who cofounded the online sports community ArmChairGM.com, then sold it to Wikipedia founder Jimmy Wales for

Time To Put The Carried Interest Debate To BedCarried interest taxation is back on the blogs this week, thanks largely to a piece by The New Yorker's James Surowiecki. It also doesn't hurt that Rep. Sandy Levin (D-MI) -- author of a 2007 bill that proposed changing the treatment of carried interest from capital gains to ordinary income -- was named acting head of the House Ways & Means Committee, in the aftermath of l'affaire Rangel. But, just between us, I'm absolutely sick of discussing carried interest (let alone writing about it). That Levin legislation was submitted nearly three years ago, and the issue has been used as political brickbat ever since. The original impediment was a threatened presidential veto, plus some poison pill dispensing by Chuck Shumer. Then came a new sheri

To make matters worse, Wilkinson says that MetaLab actually bid on creating the design for FlightDeck months ago, but was turned down by Mozilla. Amazon Wields $25 Gift Certificates To Pacify Frustrated Comic Book FansOver the last few days, a strange situation has been brewing between Amazon and a sizable number of comic book fans. On March 7, Bleeding Cool broke the news of an apparent Amazon sale featuring high quality hardcover Marvel graphic novels at bargain-basement prices of $14.99, when their retail prices were more along the lines of $125. Alas, it turned out to be a pricing error. Amazon could have simply canceled the orders (which is common practice for online retailers), but instead, it tried to do right by its users and said it would honor some of the orders. Except it didn't actually have enough books in stock to do what it promised, leading to another wave of frustration from the comics fans. Now Amazon is looking to smooth things ov

Venture Blog Venture Blog

In the Land of Twitter, Blogging is KingAs Twitter has risen to prominence, many loud voices have declared it the future of media, the future of journalism, even the future of the free world. I am a fan of Twitter. It is a powerful service that is unbelievably flexible and versatile. But, as I contemplate Twitter, it strikes me that Blogging remains the king of new media. Given the nature of Twitter, Tweets are necessarily abbreviated and ephemeral. I don't necessarily mean that as a criticism. There are certain real advantages to the brevity of Twitter. Anyone can Tweet. You can do it on the fly. You can do it quickly. And there are virtually no barriers to getting started. What's more, the fleeting nature of Twitter may be a feature as much as a flaw. Twitter put

The Democratization of the TED ConferenceDespite my best efforts, there was no way that I was going to actually manage to blog while I was still at the TED conference this year. I don't know how anyone can do it. I suppose that is why there was such an explosion of tweeting at TED -- you can do it on the fly. But if you want to sit down and write anything vaguely coherent, it takes time. And the TED conference isn't about free time. In fact, I managed to get about 10 hours of sleep over the last three nights of TED. But now that I am back and rested, I figured I'd tap out some thoughts. As with every year, now that TED is over, the debate has begun -- is TED an elitist event that is nothing more than a party for the rich and self-involved? I am reluctant to jump into the f

Sending Aardvark Off to Google U.After a bunch of early speculation, it was announced last week that Google has acquired Aardvark. It didn't surprise me one bit that Google wanted to own Aardvark. Aardvark is completely awesome. And I am going to miss lending a hand in building this amazing company. About a year and a half ago I first met with Max Ventilla, founder and CEO of Aardvark, to talk about his company. That meeting was on a Friday. And after the meeting I rushed to get Max and his co-founders (Rob Spiro, Nathan Stoll and Damon Horowitz) in to meet my partners the following Monday. My partners had the same reaction to Aardvark that I did -- love at first sight. And so we quickly gave the team a term sheet to fund their Series A. But we weren't alone. In

The Fathers of the Venture Capital IndustryWhat we think of as Venture Capital today is a pretty young profession. "Modern" VC firms first came into existence in the 1960s, started by the likes of Bill Draper, Pitch Johnson and Reid Dennis. These visionaries shaped the technology industry, and lay the groundwork for everything that we VCs do today. My friend Paul Holland and the folks at Foundation Capital have produced a new documentary that tells the story of the early days of the venture business. The film is called "More than Money: The Untold Tale of Risk, Reward and the Original Venture Capitalists." Those original VCs chronicled in the documentary are Tom Perkins, Don Valentine, Arthur Rock, Bill Draper, Dick Kramlich, Reid Dennis, Pitch Johnson, Bill Edwards and Bill

My 10th TED ConferenceI've just arrived in Long Beach for the annual TED conference. When I first started going to TED, it was a relatively small, relatively unknown gathering in Monterey, California. But don't confuse relatively small and relatively unknown for relatively uninteresting. Since its inception, the TED conference has been an amazing gathering of people across a variety of disciplines (TED stands for Technology, Entertainment and Design). And with the advent of TED's fantastic video destination site and a growing number of enthusiastic boosters, the conference has become much larger and much more influential. It has been a while since I blogged about TED, but I'm going to try to post some thoughts over the course of this week. There are alwa

Four Square Fatigue and the Evolution of PrivacyOver the last few weeks I've started to suffer from Four Square fatigue. After all, Four Square is a lot of work. To get the benefits of Four Square, you need to proactively check in wherever you go. And, while each checkin requires a relatively small amount of work, in the aggregate, it takes real effort to make the most of the Four Square experience. Would it be better if Four Square just checked you in automatically any time you lingered at a location for more than 15 or 20 minutes? Or does that cross the privacy line for most of us? The challenges of Four Square have gotten me thinking more broadly about privacy on the web. On the one hand, the less proactive input a service requires, the less friction there is in maintaining its

Is "Value Added Investor" An Oxymoron?I'm always amazed to hear VCs describe themselves as "value added investors." Not because I am skeptical about their ability to add value. More because I think all investors need to be "value added." If the only thing you do as an investor is hand out money, you are in big trouble. There's a lot of money out there. And it isn't that hard to hand it out. If all you are as a venture investor is a money dispensary, you are as fungible as the money that you are handing out. I know that in some entrepreneurial circles there is a reasonable amount of skepticism about the idea that investors can add value. While that may be a fair criticism in some circumstances (there are investors out there who have been known to add a little bit too muc

Facebook, Twitter and P&GThis afternoon I attended an event sponsored by Proctor & Gamble called the "Innovation Outreach Venturing Day." The event was an effort by executives at P&G to connect with the investment community in the Bay Area to discuss how P&G might work more closely with the emerging technology companies we all touch every day. The pre-amble to the event was a run down of the scale of Proctor & Gamble's business and the massive amount of technology they already leverage. The scale of P&G is pretty stunning -- P&G has 32 separate brands that do more than half a billion in revenue annually (and more than half of those do more than a billion). The company has 135,000 full time employees and did nearly $80 billion in revenue last year. In other wor

VC Bloggers -- No Rest for the WickedWhen I first started blogging, I wrote a lot. Everything I saw in my day-to-day VC world called out for a blog entry. Great competitive landscape slide -- blog about it. Exciting presentation at the TED conference -- blog about it. Liquidation preference distribution -- blog about it. I viewed my world through blog-colored glasses. Part time VC. Part time journalist. For years, my every thought became a VentureBlog post. But I have to admit, over time, my focus turned elsewhere. I spoke at events, podcast, taught, started The Lobby conference, and worked hard to help my portfolio companies thrive. And, along the way, my blog suffered. Fewer things in my daily life called out for commentary. And VentureBlog began to languish.

Monetizing Twitter -- Bring on the Ads!True, no one asked me. But here's my two cents anyway. Twitter should open up its platform to advertising. That's right, advertising. Forget all this hoo-ha over selling data or paid business accounts or dashboards . . . Twitter has everything it needs to build a wildly-successful ad driven business model. It should get on with it. The two hallmarks of successful advertising-driven businesses are 1) massive scale and 2) abundant context. How has MySpace built such strong advertising revenue atop their social media platform? Huge scale and a ton of context. Same is true of Facebook and Yahoo and Six Apart. And, of course, the mother of all ad supported businesses -- Google -- is all about scale and context. Twitter's scale has
