Ask the VC Ask the VC

Where Are My IPOs?Today's great post of the day is from Fred Wilson titled The IPO Debate.  There were no VC-backed IPOs in Q208 - the first time this has happened since 1978.  The National Venture Capital Association (NVCA) is doing a big media push to get the word out about this and what it thinks is the underlying cause and ultimate impact on innovation in the United States.  Fred has some great thoughts on the issue.

How Did We Get Our Idea For Our Startup?Q:  We just started looking for venture funding and I have a question. Why do VC's ask us how our idea came about? Are they looking for an emotional and inspiring story or are they worried that we may have taken our idea from someone else or, what I believe is the case, do they want to see if we were driven by an opening in the market that we observed? Of course, if we are giving our answer in a way that addresses one or two of these issues then you are probably missing the third.  Please help! A: (Jason)  Without sounding too glib the answer is "all of the above and maybe more, probably."  Your guesses as to why are probably accurate and it, of course depends on to whom you are speaking with.  I'll address each of your guesses indivi

I've Got Angels Who Want To Invest But Not Lead - Now What?Q: I have several angels that say the want to invest but non of them wants to lead. In your experience: 1) Is this a "call option" strategy rather than a serious investment intent? 2) any thoughts on how to turn "co investors" into lead? or should I try to get a lead of this "co investors" pack? A: (Brad) While it's hard to tell whether this is a call option or serious investment intent, it is not that helpful in getting the round pulled together.  When doing an angel round, you need two things: (1) a lead investor who is willing to negotiate terms and (2) supporting investors that won't lead but are committed to participating on whatever terms the lead negotiates with you. While you can't contractually commit the supporting investors, y

What's An Appropriate Equity Package For A Founding Board Member?Q: I am trying to determine the appropriate equity position for my startup's board members.  They are arguing that they are "founding" board members. They have put in a few hours a month of their time for around a year, have been very helpful with introductions, and have sat in on VC meetings.  We are seed stage (pre-A). Can you suggest a range of equity for a "founding" board member? While you referenced the concept in your "Compensation for Board Members" article, you did not detail any specific ranges. A: (Brad) I think their equity as "founding board members" - given your description of what they have been doing for you - should map to the post Compensation for Board Members or Board Member / Advisory Member Compensation.  Specifica

More Thoughts on Structuring an Angel InvestmentI'm not a fan of convertible notes as the form of an angel investment.  When I'm making an angel investment, I much prefer to price the round and do a "light Series A" (simple terms, but still a preferred instrument.)  Basil Peters has a series of posts up on Angel blog that talks about the problems of Convertible Notes for Angel Investing, suggests Exchangeable Shares for Angel Investors, and even provides a One Page Term Sheet for Angel Investors.

Founders Termination Clause In Term Sheets?Q: Thank you very much for your term sheet series.  Not being that familiar with "specific" term sheets, I have heard something about VC terms that effectively allow the VC to fire the founder(s) and in the process relieve them of their shares since they had then left the company before liquidity. I have read a previous Ask the VC post about the 'moral' and 'reputation' reasons that VC's will not do this. However I am more interested in the legal binds and would like to know if these sort of terms are something that is standard/negotiable in various term sheets. A: (Jason).  There is certainly nothing in a standard term sheet that specifically addresses this.  I've seen founder / CEO termination clauses in term sheets that effectively

What Kind of Benefits Can I Expect Working at a Startup?Q:  What kind of benefits do start-ups typically offer? I don't mean salary or equity: about which you already posted a lot of information. I am talking about health and life insurance, disability insurance - all of the typical benefits one receives when working for a large and established business. Do you recommend a particular benefits package configuration to your companies? Are benefits ever a part of your conversations with your companies about the 'costs' of running the business? How do you see startups dealing with a regulatory landscape designed for an entirely different type of organizations? A: (Jason)  In order to best answer your question, I asked Dan Cutler from TriNet to opine.  Dan and TriNet have been great partners to

Getting Into The VC BusinessFred Wilson has today's great VC blog post up titled I Got Lucky.  It's the story of how Fred got into the VC business - going back to 1986. I met Fred in 1996 the same day I met Seth Godin at Yoyodyne (which ended up being the first investment out of Fred's new fund - Flatiron Partners.)  Fred and I have been good friends since and I count him as one of my favorite people on the planet to work with.  While it's fun to read the story, the punch line is powerful and important for anyone that wants to get into the venture capital business. If you want to be a top tier venture investor, you must be recognized as one of the experts in the field you invest in. When I was at Euclid, I used to watch in admiration as guys like Bill Kaiser w

Should You Expense or Capitalize Your Engineering Costs?Q: At RealNetworks we always expensed (vs. capitalized) engineering expenses (as does MSFT).  What is your philosophy on this engineering accounting practice. A: (Brad) Subject to approval by the auditors, I always encourage companies I invest in to expense their engineering costs.  Regardless of the accounting treatment, I think it's a bullshit practice to capitalize engineering expenses.  In an early stage company, this simply serves to obfuscate the reality of the P&L by transferring real expenses to an asset on the balance sheet which is subsequently depreciated over a multi-year period of time.  The result - investors and managers have to work harder to understand the P&L and the real economic dynamics of the business.  It gets

TSA Starts Designing LuggageAs I was contemplating how to optimally pack my liquids and gels into a single quart sized ziplock bag I came across an article in the NY Times titled Bag Helps Laptop Pass Air Security.  Apparently, the TSA has been testing new luggage as a result of an RPF they sent out recently.  They won't certify these bags - rather they'll encourage manufacturers to adopt a universal logo akin to "this bag is checkpoint friendly." So here's what's going to happen.  50+ luggage / backpack / briefcases are going to appear on the market that say "this bag is checkpoint friendly" on them.  They'll work for a little while.  Then 200+ knockoffs will come on the market at 50% lower price points.  All of them will say "this bag is checkpoint friendly."

If you aren't familiar with FAS 157, it's officially known as the "fair value measurement" rule and unofficially known by some as the "mark to market" provision.  Before you ask, "wait - isn't mark to market the thing that got

Unintended Consequences of Hybrid VehiclesI heard a "superb" cynical statement today.  I have no idea if it is factually correct, have no data (empirical or anecdotal) to support it, but it is such a great potential example of unintended consequences that I thought it was worth putting out there. The statement was "While hybrid vehicles make us feel better, they actually do more harm than good because they result in more driving."  The follow up thought is that for hybrid cars to really work (at today's efficiency levels), people still need to modify their behavior and drive less (e.g. relying on public transportation or carpooling.)  However, once you've bought a hybrid, you suddenly feel like you are doing your part and subsequently drive more!  This additional driving add

WANTED: New Kind of CMS and New Kind of Start PageI'm looking for a couple things that I'm surprised I cannot find, yet:1) New kind of CMS, turning your site/blog into your single profile/lifestream/social graph instead of maintaining those concepts across Facebook, Twitter, Friendfeed or elsewhere. There are some lifestream plugins for Wordpress and some one-off integrated design efforts, but this feels like something worthy of a new CMS from the ground up -- the mix of profile and social graph requires rethinking refresh cycles, data location/sharing, and existing blog/page design concepts. Now that APIs are proliferating at a rapid rate, it's possible to create the truly distributed social network -- where we own/control the end-nodes. Any ideas who is closest to this?2) New kind of

The Many Models of MusicWired is one of those rare magazines I usually read cover to cover during the month it arrives. Every now and then I get a nice surprise when I find an old article I somehow missed. Today is one of those days.David Byrne wrote a brief, yet informative, article about the evolution of music distribution on page 125 of the January 2008 issue. It's a topic I've thought about since the Napster days and I hadn't seen someone map the landscape of artist options as succinctly as David has. He also did a better job than most at describing the music experience our genetics long for, not just a CD or recorded song.David describes music as:"Before recording technology existed, you could not separate music from its social context....Music was an exp

I'm Back on the Grid!!For those of you wondering why it's been awhile since my last post, blame Alaska. In honor of my in-laws 50th wedding anniversary, our extended family met in Seattle for a group Alaska cruise. Our time there was amazing, relaxing, and very "off the grid".I'm now digging out of email, voicemails, twitter, friendfeed, facebook etc. backlog. Anyone who left me a message, but doesn't hear back by Monday, please give me another ping. With over 1500 emails waiting, it may take awhile...after clearing that backlog, I hope to share some photos from the trip! Let's get to know each other, Join FVB, my venture capital blog community!

Amazon, Twitter and Operant ConditioningTwitter/FriendFeed updates announced Amazon.com was down for at least an hour this morning. It has since come up and down a few times. CNet, Mashable, TechCrunch and, thus TechMeme, eventually realized it too. It's up for me now.I have no idea what happened, but I know Amazon gets a surge of buzz/traffic when it returns. I've seen Twitter leverage this strategy masterfully, reaping the rewards of variable scheduling to maximize conditioned behavior.Wikipedia's description of operant conditioning has this to say about fixed and variable scheduling of stimulus:"According to the laws of operant conditioning, any behavior that is consistently rewarded, every single time, will extinguish at a faster rate while intermittently reinforcing beha

HP's Ultimate Filmmaker Kit & 3Minutes2Launch ContestMy daughter's kicking off a webshow, one nephew is a director and another is a parkour nut with his own blog/videos. I guess that explains why the HP Channelbee.com contest caught my eye over at SocialSpark. One lucky entrant of 3Minutes2Launch who creates a 3 minute video, enters it in the contest and beats out the competition, will win an internship with ChannelBee and produce a documentary of their experience. The next couple videos provide a bit more detail:I took a look at some of the entries and I have to say this isn't your typical mentos & coke mouth explosion phone-cam contest. This is a chance for someone passionate about directing to show their stuff in 3 minutes, 2 launch a film/TV career. Although I know "real" directors

Orlando Makes FastCompany Global DozenOn a tip from Greg via Doterati, I just checked out FastCompany's list of the dozen best cities on the planet for innovation. Only 3 of the cities were in the US, and kudos to Orlando for being one of the few. The full list, in no particular order, included:BeijingHyderabadMexico CityKigaliSeattleOrlandoCalgaryMoscowBarcelonaKansas CityDoharAbu DhabiThey had this to say about Orlando:"There's more to Orlando than Mickey. It's now a hub for two burgeoning industries: interactive games -- a lively scene has sprouted around the Electronic Arts studio behind Madden NFL -- and biotech. Revision3, MediaDefender and the Building Robot WarsOver the last couple years I've diligenced a few network security products that are the internet equivalent of automated unmanned air vehicles (UAVs). They offer the ability to scan the [network] horizon for enemy behavior and take aggressive, automated offensive/defensive action. The magnitude of such automated action usually intrigued me and troubled me at the same time. Today's detailed claim by Revision3 of a MediaDefender denial of service attack on its BitTorrent port reminded me of the robot wars that are coming in air (via UAVs) and in the "cloud" (via MediaDefender and others).Revision3's post sure sounded like they are setting up to sue MediaDefender (or at least scare up some kind of settlement). Given the business losses, R3's

TheFunded.com Discussion: What should founder's salary be?Our team has built a b2c product that has gained some traction and recognition since its launch earlier this year. We are going out to talk to VCs now and have put together our financial plan. Some folks are suggesting to throw out the founders' salaries to minimize the cost for the first year. But we've already worked on this for a year without pay... What do others think of this suggestion?

TheFunded.com Discussion: Prototyping?I'm currently creating a prototype that will run on specialized hardware, but I am unsure of the lengths required for a prototype. What's more important: the software or the hardware and the software? I plan on pitching angel investors in the Valley and I was curious if you guys had any advice on what they'd prefer to see? I can have the hardware built but I realized that it would cost much less if we used a generic computer for now, so I was curious about the advantages of using the specific hardware for the prototype.

Know Your CompetitionI was recently being pitched by a smart team of guys who are building an interesting business in the digital music space. The team has great domain expertise and plenty of credibility as entrepreneurs who have built a number of related businesses in the past. They were doing a nice job of selling the opportunity . . . until they got to the competition slide. I have noticed that often times when I am pitched on a business, the competition slide is treated as, at best, a necessary evil. It's in there because it is "supposed" to be, but not much more. Sure, I've seen some really creative ways entrepreneurs have found to place themselves alone in the upper right corner of a 4X4 matrix. And I've heard -- perhaps more often than is merited

MicroHoo: The Social Network That Could Have BeenOver the course of the many weeks of on-again, off-again MicroHoo madness, I did a fair bit of pontificating and speculating of my own about the would-be deal. After all, it was THE Bay Area topic of conversation (for one brief moment we all put our Facebook speculation on hold -- I am so pleased that we can get back to speculating about Facebook now and, better yet, speculating about MicroBook, or is it FaceSoft?). Many of the MicroHoo conversations I had centered around the combined assets of Microsoft and Yahoo. What could the two companies, in combination, bring to bear upon the Internet landscape? And while the press largely liked to discuss the impact a Microsoft/Yahoo merger would have on the search market, to my mind that was no

Welcoming Howard Hartenbaum to August CapitalWhen I first started talking to my now-partners about joining August Capital, I was stunned at the slow pace of the conversation. I couldn't imagine how it could take months to make a decision about whether or not to invite me to join the partnership. Admittedly, I wasn't coming from the most conventional background to enter the venture industry. But over the course of months, the August partners had more than enough time to talk with pretty much everyone I'd ever met in my professional life (plus a few choice grade school teachers while they were at it). In the end, after four months of grilling, I was invited to join August Capital. At the time, I remember thinking to myself "how could it possibly take four months to decide?" It see

No Adjectives Please!I was having breakfast this morning with Salil Deshpande from Bay Partners. Salil and I were talking about assessing company progress and how best to measure that progress. Salil invests in super early-stage deals and has his companies report to him on their progress on a frequent basis. He said that he had one CEO who would report on his progress in such florid language that eventually Salil had to forbid his use of adjectives in his progress reports. Salil said that he didn't want to hear that things were going great. He wanted to hear precisely how things were going. I nearly jumped out of my seat. Salil had articulated one of my biggest pet peeves when it comes to company pitches (and board meetings for that matter). I hate adj

Five Years of VentureBlogA little over five years ago, Andrew Anker and I started chatting about blogging. There was plenty of blogging going on already for sure. But no one in the Sand Hill crowd was thinking about it. At the time there was still a prevailing sense that venture investing was a black box and any view into the box was a bad idea. Andrew and I talked about the fact that we didn't buy that. We thought there were all sorts of things VCs could talk about that would be interesting and valuable to entrepreneurs. Andrew proposed we start VentureBlog and came up with the tagline "A Random Walk Down Sand Hill Road" -- we laughed and VentureBlog was born. Five years ago (technically, five years ago tomorrow), Andrew posted our "Hello, World." Andrew w

Obsession is the Fuel of Silicon ValleyAn interesting debate has broken out between Glenn Kelman and Mike Arrington. Glenn is the CEO of Redfin, a Seattle-based startup that is trying to modernize the process of buying and selling homes. Glenn's a smart guy and a great entrepreneur. And he has always struck me as quite thoughtful. Which is why I was surprised to read his recent blog post entitled, "How Green Was My Valley." In that post, Glenn extolls the virtues of Seattle, while attacking Silicon Valley: "the Valley's monomania is really just a kind of pubescence. What else could account for the Valley's self-righteousness, its congregations of frustrated dudes, its all-nighters, idealism, delusions of grandeur, mood-swings, longings, dramas, hero-worship and pranks? Startups Have Bigger Things to Worry About Than MicroHoo!I am definitely late to the party in praising Marc Andreessen's incredibly great Blog. That said, my failure to extoll the virtues of Marc and his dead-on insights is not the result of me personally arriving late at the lovefest. I have been thrilled to read Marc's uniformly interesting and well-reasoned insights since blog post #1. I just haven't had the right opportunity to suck up to Marc and tell him how much I care. Thankfully, that moment has come! If you are as big a Techmeme addict as am I, you have probably noticed this little discussion going on in the blog world about the would-be Microsoft/Yahoo merger. I have never seen a single issue take over Techmeme so completely. And the discussion about MicroHoo! or YahooSoft! has

Entrepreneurial Success According to Paul Graham and Madeline AlbrightDriving home from the city yesterday I was listening to a very interesting interview of Madeline Albright on NPR. Albright made a range of insightful observations about diplomacy, world affairs and the Presidency. During the course of the interview, one statement in particular jumped out at me. Albright said that she would rather have a President who was confident than a President who was certain. She noted that a confident President could take principled positions and stand for things that mattered, but would still have the good sense to listen to those around him and take counsel from a range of brilliant advisors. In contrast, a certain President would have no need for advisors because the appropriate course would be "clear" to him.

Pitching a VC -- The Basics RevisitedWhen I first started writing VentureBlog, I used to talk a lot about entrepreneurship. At the time, not a lot had been written about pitching VCs or the Venture Capital process, so there was lots of virgin territory. Since that time, dozens of VCs have started blogging and much has been said about what it takes to get a VC down the isle. Bits and pieces here and there -- a good Google archeologist can pull it all together. But having spent the week pontificating about PowerPoint and the likes, I've decided to take one more swing through the basics of pitching a VC. As I thought about the process of pitching a business, it struck me that no matter what the stage, the information was essentially the same. A good elevator pitch contain

Entrepreneurship for LawyersI was recently reading some old posts on Venture Blog and couldn't believe how short they were. One might call them pithy. Or one might also call them lazy. Either way, they were short. I should really try that again. I have been teaching a class at Harvard Law School this winter semester called Venture Capital and the Technology Start-up with John Palfrey, the Executive Director of the Berkman Center. It is really fun to be back at the law school and working with John. I have been blown away by the energy that the law students are bringing to the topic of Entrepreneurship and Venture Capital. Sadly, I never had a VC or Entrepreneurship class in law school. Lets see, I had torts, contracts, criminal law, federal courts, administrat

Venture Capital in ChinaFor the last several years there has been a lot of talk on Sand Hill Road about investing in China. To a certain degree there has been a lot of talk about all the BRIC countries -- Brazil, Russia, India and China. But the most excitement is clearly around China. (Interestingly, while India is a relatively close second, I have yet to hear of a single Bay Area VC exploring investment in either Brazil or Russia). Drawn by huge markets and a rapidly expanding economy, American VC's are heading to China to stake their claims. Go East young VC's. Go East. Venture Capital investment in China has not, however, been a headlong dive. Bay Area VC's seem to be sending over exploratory parties. By way of example, David Chao from Doll Capital
